Agreement to Terms

By accessing or using JK Stellar Solutions products and services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Services.

Description of Services

JK Stellar Solutions provides cloud-based software products for digital asset management, vendor contract management, healthcare compliance, and accounts receivable management. Our Services include web applications, APIs, and related documentation.

Account Registration

To use our Services, you must:

• Provide accurate, complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be at least 18 years old or the legal age in your jurisdiction

You are responsible for all activities that occur under your account.

Subscription and Payment

Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees due.

Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at your next billing cycle.

Refunds

Monthly subscriptions may be cancelled at any time. Annual subscriptions are non-refundable but will remain active until the end of the term.

Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or attempt to breach security
• Interfere with or disrupt the Services
• Attempt to access accounts or data belonging to others
• Use the Services for any illegal or unauthorized purpose
• Resell or redistribute the Services without authorization

Intellectual Property

Our Property

The Services, including all content, features, and functionality, are owned by JK Stellar Solutions and are protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you upload to the Services. By uploading content, you grant us a license to use, store, and process that content to provide the Services.

Data Processing

We process your data in accordance with our Privacy Policy. For enterprise customers, we offer Data Processing Agreements (DPAs) to meet regulatory requirements.

Service Level Agreement

We strive to maintain high availability. Specific uptime commitments and remedies are detailed in our Service Level Agreement, available to Enterprise customers.

Limitation of Liability

To the maximum extent permitted by law, JK Stellar Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless JK Stellar Solutions from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Services will immediately cease. You may export your data before termination.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Continued use of the Services after changes constitutes acceptance.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in San Francisco, California, except where prohibited by law.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
